These Terms of Service (“Terms”) govern your access to and use of the Outpost service, website, and applications (collectively, the “Service”) provided by Outpost Labs, LLC (“Outpost”, “we”, or “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
You must be at least 13 years old to use the Service. When you create an account, you agree to provide accurate information and keep it current. You are responsible for the activity on your account and for safeguarding your credentials.
2. Your Content and Connected Services
The Service lets you configure automated agents (“Scouts”) that access and process data from your own accounts on third-party services you choose to connect (such as email, calendar, document, messaging, and CRM providers). Connections are optional and granted just-in-time: you only authorize a connection when you build or run a Scout that needs it, and only for the scopes that Scout requires. You retain ownership of the content you supply to the Service (“Your Content”). You grant Outpost a limited, worldwide, non-exclusive license to process Your Content solely to operate and provide the Service on your behalf.
You are responsible for ensuring that you have the right to connect any third-party accounts to the Service and to grant Outpost the necessary permissions to act on your behalf within those accounts.
3. Subscriptions and Billing
Outpost offers a free trial and paid subscription plans. Pricing and the specific features of each plan are published on our Pricing page. Paid subscriptions are billed monthly in advance through our third-party payment processor. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.
You can change plans or cancel your subscription at any time through the customer portal linked from your account settings. Cancellation takes effect at the end of the current billing period; your Scouts will continue to operate until that date.
If payment fails, the Service may pause your Scouts until the payment method is updated and the outstanding balance is paid.
4. Free Trial
New accounts receive a 30-day free trial automatically at signup. No payment method is required to start the trial. When the trial ends, your Scouts will pause if you have not selected a paid plan; your account and configurations remain available for reactivation.
5. Usage Limits
Each plan includes specific limits on the number of Scouts, monthly runs, and per-run resources. If your usage reaches the plan’s limits, the Service may block further runs until the next billing period or until you upgrade. Failed or errored runs do not count against your monthly allowance.
6. Acceptable Use
By using the Service, you agree not to:
- Violate any applicable law or regulation.
- Use the Service to send spam, harass any person, or transmit unlawful, infringing, or harmful content.
- Interfere with or disrupt the Service, including overwhelming the system, circumventing rate limits, or probing security boundaries.
- Attempt to reverse engineer, decompile, or copy the Service or any of its components.
- Use the Service to scrape, resell, or export data from any connected third-party service in violation of that service’s terms, or to build a competing product.
- Resell, sublicense, or provide the Service to third parties without our prior written consent.
We may suspend or terminate your account if we reasonably believe you have violated this section.
7. Third-Party Services
The Service integrates with third-party services you choose to connect. Your use of those services is governed by their respective terms and privacy policies, and we are not responsible for their availability, accuracy, or security. Use of Google services through Outpost is additionally subject to the Google API Services User Data Policy, including the Limited Use requirements, as further described in our Privacy Policy.
8. Intellectual Property
Outpost and its licensors retain all right, title, and interest in the Service, including all software, designs, trademarks, and documentation. Nothing in these Terms transfers any of those rights to you except the limited right to use the Service in accordance with these Terms.
9. Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant Outpost a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
10. Termination
You may stop using the Service and delete your account at any time through the account settings. We may suspend or terminate your access if you breach these Terms, fail to pay for the Service, or if we are required to do so by law. Upon termination or account deletion, your right to use the Service ends immediately; we revoke access tokens for connected services (where the provider’s API supports revocation) and remove account data, Scouts, run history, and connection credentials from active systems within thirty (30) days, with limited backups purged on the same schedule. Sections that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and indemnification) will survive.
11. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted or error-free. Outpost does not guarantee the accuracy, completeness, or timeliness of any output produced by the Service.
12. Limitation of Liability
To the maximum extent permitted by law, Outpost and its affiliates, directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our total cumulative liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).
13. Indemnification
You agree to defend, indemnify, and hold harmless Outpost and its affiliates from and against any claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your breach of these Terms, or your violation of any third-party right.
14. Changes to the Service or Terms
We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice within the Service. Continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
